Hopefully you got the Intel 775 pin processor line but the installation should be pretty straight forward.
Looking at the motherboard where the CPU would go, there is a metal lever type of locking mechanism that extends the length of the processor space. You'll want to first move it to the side, then rotate it up toward you.
This will loosen up the brace that would apply pressure to the CPU, locking it down into place. Open this door/brace up and (if a new motherboard, remove the black plastic protector inside the door) and you'll notice the pins are located on the motherboard themselves. [ Older motherboard/processors had the pins on the CPU ] If you look along the plastic edge of the where the processor would sit in the motherboard, there are little tabs protruding out toward the pins.
Now in looking at your processor, you'll notice that there are also two indentations on the edge of your processor. You'll match these indentations and tabs up so that the processor will sit nice and cozy inside (remember, you want the gold dotted side DOWN).
There will a little play in the processor itself once you set it down which is normal.
Close the door/brace and bring the locking lever down. It may require a good firm force to pivot the lever down but once you get it down far enough, move it over slightly to the side (opposite of how you removed it) and then lock it into place. (you'll notice that there are small plastic brackets that hold this lever down in place to lock it.)
Now that the CPU is locked down, its time to put some thermal paste down on it. (most CPU coolers already have the jelly on the bottoms... a grey jelly material)
Depending on how big of a cooler you have for the CPU, for the larger ones, I always do an eyeball test fit... just to make sure that I have it rotated and fitted correctly before setting it down and locking in the screws.
Don't forget to plug up the CPU cooler/fan to the motherboard CPU_FAN plug.
