I have a computer with a MB that is taking a dump running XP (32-bit). I know I can't just change out the MB without running into some problems. Can anyone tell me what the steps are to do this without completely killing the computer?

With regard to replacing the motherboard, you'll have to reinstall the Windows XP operating system after changing the motherboard. Also, the new motherboard should be compatible with your existing processor.
