Well...the CD you are talking about can be procured from another user or from your phone's official home-page(if any). The upgrade for windows 5/6/6.1 is possible only if your pocket pc has at least 128 of RAM 64 ROM and a processor of at least 300MHz(i tested under these conditions and it worked fine for win 5 mobile and it worked a bit sloe for win 6).For win6.1 you require double the amount of resources. Plus of that, I don't recommend you upgrading because the fact that your device is a bit old can be an important factor for this upgrade.
