SOLVED! This happing when trying to download a firmware upgrade or config from server and there is a power outgage. Solution: Put a file called cp7912r.zup in your tftpserver root. This file can be a valid cisco image, for example, CP7912080001SIP060412A.sbin
I have had the same issue with several handsets returned to me. There was DHCP activity, but the handsets never requested a file - most sites have suggested you must specify option 150 in the DHCP settings and not 66 but I eventually tried 66 and hey presto - the phone requested the 'cp7912r.zup' file.
So after encountering this exact problem on nearly 10 separate phones I inevitably found this thread. While alot of the information definitely helped me to find the solution, there is a few things that were missing. HyperTerminal or Procomm will allow you to see the boot procedure/sequence. I was continually getting stuck at the DHCP response. You will also need TFTPD32, and have it set up per these instructions : http://www.planex.net/pdf/switch/sw-0208g_setup_eng.pdf Norksman's Factory reset code is one of the reset codes, the other one that took some digging to find was this one: 3491672850*# With all the proper files in place, TFTPD32 setup properly, Procomm to watch it's status, and this reset code, you should be up and running!
